TERMS

NON-DISCLOSURE & CONFIDENTIALITY AGREEMENT

Whereby you agree as follows:

In consideration of AroundTheHouse.co.uk disclosing to you certain confidential information comprising of intellectual property, business plans, products, product intentions, documents, methods of operation and information in any form or media, relating to the same for the purpose of conducting discussions or undertaking work, you undertake to AroundTheHouse as follows:

1         To treat the confidential information as secret and confidential and will not, except with the prior written consent of AroundTheHouse, make use of the same other than for the purposes of undertaking specified work as agreed with AroundTheHouse, nor disclose the same to any Third Party except, and only to extent necessary, to such of its employees or agents who shall have been aware that the same is confidential and bound to treat it as such, provided however, that this undertaking shall impose no obligation with respect to any information which:

1a)   Is now or which through no fault on your part subsequently becomes known by or available to the public by authorised publication, commercial use or otherwise, or;

1b)   Is known to you at the time of receipt, or;

1c)   Subsequently, lawfully is disclosed to you by a third party not under obligation of confidentiality.

2         That you will be responsible for any unauthorised disclosure or use by its employees or consultants of the disclosing party’s confidential information.  However, you may disclose confidential information of “AroundTheHouse” if and to the extent that it is compelled to do so by a court, regulatory authority or stock exchange with jurisdiction over the receiving party provided the receiving party gives “AroundTheHouse” prior notice, if possible, of the fact that it is compelled to make such a disclosure.

3         That any/all samples, prototypes, software, hardware, materials, designs, drawings, and other documents, which are supplied for the purposes of discussions or by you undertaking work for AroundTheHouse will strictly remain the property of AroundTheHouse and you will return them on completion of the work or discussions (or, if requested by AroundTheHouse, destroy it) within fourteen days of receipt of the request. In such an event you will not retain any copy of any part of AroundTheHouse’s confidential information including work you may have completed in any form or media. 

4         That except to conduct discussions, or undertake works, you have no licence or right commercially to use the confidential information.

5         To indemnify AroundTheHouse against any loss or damage which AroundTheHouse  may sustain or incur from a breach of confidence by you.  You agree that damages may not be an adequate remedy for any breach of this agreement and that AroundTheHouse shall be entitled to a court order to enforce compliance with this agreement or to stop any breach of it, actual or threatened.

6         That this agreement will apply to confidential information which you receive prior to and throughout the duration of any Franchise agreement being in place and will continue to apply to such confidential information for a period of three years from the end of that agreement.

7         That you may not assign this agreement to any third party.
 

This agreement shall be governed by the Laws of England, Scotland, Wales and Northern Ireland and is therefore subject to the jurisdiction of either Courts at the sole discretion of AroundTheHouse.
